聘请常年法律顾问合同

CONSULTING CONTRACT

 

聘请方XXXX有限公司因经营需要，聘请江苏广浩律师事务所律师担任常年法律顾问。经双方友好协商，达成协议如下：

This Consulting Contract (the "Contract") is made between: BRIGHTEN LAW FIRM (the "Consultant") and XXXX Co., Ltd Company (“Company"). In the spirit of friendly consultation, the both parties have reached the following terms and conditions:

 

1、法律顾问：顾问方接受聘请方聘请，指派姜晓亮律师和合作律师担任聘请方的常年法律顾问。 双方约定由法律顾问与其合作律师和律师助理协助完成第二条约定法律事务。

Consultant: The Consultant designates Lawyer Bright Jon and his partners to service as the Consultant for the Company. Both Parties agree that the legal counsels cover the legal affairs presented in article 2, with his partners and assistants.

 

2、工作职责：

The Consultant provide following services:

2.1 投资策划: 项目投资论证及调查；公司设立；公司并购；公司转股；

Investment Planning: proving and investigation of the project investment; establishment of the Company, merging and purchasing of the Company; shares transfer of the Company;

2.2 基础设施: 房地产建设；设备管理；

 Infrastructure: realty construction; equipment management;

2.3 客户管理：应收款的法律管理；资信调查；

Client Relation Management: legal administration of account receivable; investigation of the credit;

2.4 人力资源：劳动合同管理制度；规章制度的完善；安全生产管理；

Human Resources: management system of labor contract; perfecting of bylaw; management of safety in production;

2.5 供应管理：供应商管理；采购合同的规范化；质量纠纷的预防和处理；

 Supplying Management: supplier management; the standardization of purchase contract; prevention and disposal of quality disputes;

2.6 知识产权: 知识产权的保护；商业秘密；技术合同管理；

Intellectual Property: protection of Intellectual Property; trade secrets; technical contract management;

2.7 物流管理：货运、货代合同的标准化和格式化；外贸代理的规范运作

Logistics Management: standardization and formatting the contract of freight and goods agent; standardized operation of foreign trade agent;

2.8 电子商务：域名保护，网站法律审查；法律风险的预防 

E-Business: protection of the domain name; examination of website; prevention of legal risks;

法律顾问依托企业与法响应式网站提供法务信息，使用台式电脑，笔记本，平板，或是手机，均能登入网站浏览。网站以授权会员的方式免费为聘请方提供即时法律信息服务，如合同文本，合同管理，知识产权，人力资源等信息, 预防法律风险；法律顾问将在为常年法律顾问单位服务中形成的意见与建议，上载于企业与法网站的分类栏目下，供顾问单位的管理人员参考。

The Consultant provide legal information through the responsive website ( m.colaw.cn ), Using a desktop computer, notebook, tablet, or mobile phone, may visit this website. The website provide legal information for the Company in immediate services, such as Contracts versions, Contract management, Intellectual property, Human resources, and so on. The consultant will upload the legal opinions on categories of the website for reference.

 

三、法律服务：法律顾问为聘请方处理商务及法律事务，聘请方需提供必要的工作条件，如有紧急情况，双方可以随时联系处理。( 手机 139 0624 9091；微信 colawcn  电子邮件： counsel@attorney.net.cn 。

Legal Service: When the Consultant handle business and legal affairs mentioned above, the Company shall provide relevant information and appropriate working conditions. If there’s any exigency, both Parties can get contact with each other at any moment. (  Wechat colawcn; counsel@attorney.net.cn )

 

四、顾问费：根据律师业务收费标准的规定，聘请方每年向顾问方给付常年法律顾问费人民币叁万元整. 于签约后支付。

Consulting Fee: According to the Standard Charge for Lawyer's Service, the Company shall pay the Consultant an annual fee of RMB 30,000 Yuan, (this fee shall be paid in advance after signature).

 

五、其他费用：法律顾问代理聘请方参加诉讼、调解或仲裁活动或参与项目代理，应另定代理委托书，代理费按标准合理收费。法律顾问外出为聘请方办理事务，差旅费、食宿费等由聘请方支付。

Other Fees: A new trust deed shall be established, when the Consultant participate in the litigation, mediation, arbitration, or project negotiation on behalf of the Company, and the service fee will be charged under relevant standard reasonably. Whenever the Consultant is on business trip for the Company, all their traveling and living expenditure shall be paid by the Company.

 

六、忠诚义务：法律顾问在提供法律服务时所掌握的聘请方的商业秘密以及其它不宜公开的情况，负有保密的义务。法律顾问在担任常年法律顾问期间，不得为聘请方员工个人提供任何不利于聘请方的咨询意见。

Loyalty Obligation: The Consultant shall keep secret when knowing business secrets or information unsuitable to be published of the Company through the Consultant providing legal services. During the valid period of the contract, the counsels shall not offer any consultative opinions to the employees of the Company against their employer.

 

七、合同效力：本合同于双方签章起生效，有效期为一年。在期限届满后如一方不提出终止合同，本合同继续有效。

Contract force: The Contract shall come into force on the date both parties sign it. The validity of the Contract is 1 year. Before the term expires, if no party has brought up to terminate the Contract, the Contract shall be valid continuously.

 

八、合同文本：本合同一式二份，双方各执一份。

 Contract Text: Both parties have executed the Contract in duplicate. Each of the parties holds one copy.
